Luminary Cloud Service Consumption Table

Consumption

Generally. The Luminary Cloud Platform is a high-performance computing platform provided by Luminary Cloud, Inc. (“Luminary”, “we”, “us”, “our”) to Luminary customers (each a “Customer”, “you”, “your”) as a service which consumes resources for distinct functions as set forth herein and is available in several different editions (“Editions”) and hosted in different geographical regions (“Regions”) by certain third-party cloud providers (“Cloud Providers”), as described more fully in your agreement with Luminary (“Agreement”) and the Documentation. Customer Data is uploaded into or created in Customer’s account on the Service (“Account”) and may be stored in a central repository in each Account (“Storage”). Customer can consume high-performance computing capabilities as needed to create or process Customer Data (“Compute Services”). As set forth in the tables below “Azure,” “AWS,” and “GCP” each refer to the Cloud Providers, Microsoft Corporation, Amazon Web Services, Inc., and Google LLC, respectively.  Pricing in Tables 2, 3, and 4 are in U.S. dollars (USD).  Luminary is not yet available outside the United States and therefore non-U.S. currencies are not considered at this time.

Compute Services (Simulation, Exploration, Meshing, Other Processing): Usage of Compute Services is charged on the basis of credits (“Luminary Credits”) consumed for the operation of high-performance computing jobs or related pre-processing and post-processing operations (a “Job”). Compute Services use Luminary Credits at certain rates based on the effective size of the Job while the Job is running, as set forth in Table 1 below. Job sizing is determined by the Service at runtime based on a number of factors including Job Configuration and immediately available resources. The Luminary Cloud Service may produce up-front estimates of a Job’s expected usage in runtime and/or cost in funds or Luminary Credits (“Usage Estimate”), however Usage Estimates are only estimates and Customer agrees they are solely for advisory purposes and may not reflect the actual future billable runtime of the Job; the actual runtime of the Job is the agreed and final charge which will appear in billing and be payable by Customer irrespective of any specific Usage Estimate. When a Job is suspended, it does not use any Luminary Credits. When a Job is started or resumed, a minimum of one second’s worth of Luminary Credits will be consumed. Thereafter, the Job will be charged on a per second basis, rounded up to the nearest whole second.

Batch Processing Discount. As described in the Documentation, Luminary offers a discount on the number of Luminary Credits consumed for Jobs which Customer has identified as having flexible scheduling requirements where results can be delivered in delayed or deferred timeframes (a “Batch Job”). Batch Jobs are automatically given a 65% discount on the consumption rate of Luminary Credits (the “Batch Processing Discount”). For example, a specific Job might be able to run in 10 minutes or less, but results might not be required by Customer for a few hours, so Customer may choose to identify that Job as a Batch Job to receive the Batch Processing Discount. Luminary reserves the right to increase or decrease the Batch Processing Discount from time to time, for example due to changing economic considerations of running the Service. The same Batch Processing Discount applies to all Luminary customers regardless of Edition and regardless of whether they have a Prepaid Subscription.

Storage Services: Storage charges are based on metered storage usage of Customer Data stored in your Account multiplied by a storage unit price. Storage usage is metered by the Service based on the size and lifetime of each individual data item from upload or creation through deletion by Customer, rounded up to the nearest whole megabyte-hour. If a data item is compressed, the compressed data size is used in the calculation of the data item size. The monthly charge is based on sum-total aggregate units of metered storage usage in the Account within that calendar month multiplied by a storage unit price converted from the pricing in Table 3 into megabyte-hours, assuming a 30-day month. For example, assuming you have an On-Demand Subscription, if you run a Job which creates 1 TB of result data in a GCP US region and delete that result data after exactly 5 calendar days, the Service would meter 120,000,000 megabyte-hours (5 days x 24 hours x 1 TB x 1,000,000 MB per TB) of metered storage units multiplied by a storage unit price of approximately $0.00000004861 ($35 / 1,000,000 MB per TB / 720 hours per 30-day month) and charged $5.83 in the billing month.

Contributed Data Discount. As described in the Documentation and the Agreement, Luminary offers a discount on storage usage of all Contributed Data as an incentive to contribute such data to improve the Service. Contributed Data storage usage is automatically given a 50% discount (the “Contributed Data Discount”) on the consumption rate of terabytes per month. Luminary reserves the right to increase or decrease the Contributed Data Discount from time to time, for example due to changing economic considerations of running the Service. The same Contributed Data Discount applies to all Luminary customers regardless of Edition and regardless of whether they have a Prepaid Subscription.

Network Services (Data Transfer, Ingress or Egress): As more fully described in the Documentation, the Luminary Cloud Service allows Customer to transfer Customer Data in and out of its existing Account (“Data Transfer”). Depending on the Cloud Provider and what Region the Data Transfer is executed from, charges may be incurred for the Data Transfer. The charges applicable to a Data Transfer for each Cloud Provider are set forth in Table 4 below.

Pricing. The Luminary Cloud Service may be subscribed to on an On-Demand Subscription basis, where usage is invoiced in arrears every month, or on a Prepaid Subscription basis, where a set dollar amount of usage is purchased up front. Pricing depends on whether you are subscribed to an On-Demand Subscription or Prepaid Subscription.

Tables 2 and 3 below set forth Luminary’s current On-Demand Credit Pricing and Storage Pricing.

While using an On-Demand Subscription, your Luminary Credit pricing is as set forth in Table 2 (On-Demand Credit Pricing). Prepaid Credit Pricing is based on applying the Luminary Credit Discount in your Order Form to the On-Demand Credit Pricing for the applicable Cloud Provider, Region, and Edition.  Prepaid Funds may be applied toward any of your usage on the Luminary Cloud Service. Luminary will provide you with monthly statements of usage, in arrears.

Changes to this Luminary Cloud Service Consumption Table. This Luminary Cloud Service Consumption Table may be updated from time to time. Luminary will use reasonable efforts to provide advance notice via email or through the Luminary Cloud Service of material changes, but the changes shall be effective on the date that Luminary announces they are effective. If any change to Table 1 (Compute Services Credit Table) materially increases the Luminary Credits required to use the Luminary Cloud Service, you may terminate the applicable Order Form upon written notice to Luminary and receive a refund of any prepaid and unused Prepaid Funds that you have purchased. Early Access Services may be subject to different pricing, which will be set forth in the Early Access Documentation if you choose to use it.

Any capitalized terms used but not defined herein shall have the meaning set forth in the Agreement or the Documentation, as applicable.
